Change in Company Name Resolution

Change in Company names amounts to significant alteration since Memorandum of Association and Articles of Association need to be altered. As per the Section 13 of the Companies Act, 2013, a Company may change its name by passing special resolution in general meeting. An approval of shareholders is required by way of Special Resolution for change in name of the Company. After taking Shareholder’s approval, the Company needs to intimate the Registrar of Companies by filing e-Form INC-24. After successful verification of the E-Form INC-24, if satisfied, then the Registrar of Companies will issue a new certificate of incorporation in Form INC-25 consequent upon change of name.

A Board resolution is required to be passed by the Board of Directors of the Company to convey General Meeting for taking shareholders’ approval by way of special resolution for change in name of the Company.
