Change in LLP Name Resolution
Any LLP registered under the Limited Liability Partnership Act, 2008 may change its name any time during its active status with the approval of the Registrar of the Companies. Change in LLP names amounts to significant alteration in LLP Agreement, its PAN, TAN and GST registration, if any. The process related to the change of LLP name is governed by Section 19 of the LLP Act, 2008 and the LLP agreement filed with the Registrar of the Companies.
Before commencing the process of change in LLP name, LLP has to decide a unique new name and verify its availability with MCA. If the new name is available, then an application for Reservation of Unique Name (RUN) can be made on the MCA portal to reserve the name. After the name gets approved, applicant is required to file Form 5 (Notice for change of name) to intimate the Registrar about the name change of LLP and if ROC is satisfied with documents, Registrar will issue a fresh certificate of incorporation in the new name.
