Non filing of return – Notice issued by Registrar of companies (MCA / ROC)

Private Limited and Public Limited Companies who haven’t filed the Annual Returns to the Registrar of Companies (ROC) in the past few years have been receiving default notices from the Ministry of Company Affairs (MCA) under SECTION 92 AND 96/SECTION 129 AND 136 READ WITH SECTION 403 OF THE COMPANIES ACT, 2013.

These sections mandate every company to file Annual Return and Balance Sheet with Registrar of Companies. None Filing of Returns attract penalty and prosecution under the provisions of Act.

Generally, these are entrepreneurs who are unaware of compliance or have moved on from their ventures. While these letters serve as warning right now, the department can take actions if this is left unattended.

In order to avoid prosecution under section 129 and 137, against company and its directors, options available are;
